TERMS OF USING INTELLECTUAL PROPERTY INCLUDED IN MASS-MEDIA PRODUCTION
Mass-media production is an electronic periodical of Prime Tass Stock Exchange Agency registered in accordance with the law as a
mass-media project (Registration Certificate Ýë ¹77-2407).
Delayed Mass-media productionis information provided by information supplier and put into Mass-media production with 15 minutes lag
with an exception of information provided by New York Stock Exchange (USA) for which the delay makes not less than 20 minutes.
Information Supplier — IDC ComStock (UK/USA), NASDAQ Stock Market, Inc. (USA), Deutsche Bourse AG (Germany), Chicago Mercantile Exchange, Inc. (USA), New York Stock Exchange, Inc. (USA), London Stock Exchange Plc (UK), International Petroleum Exchange of London Plc (UK). These companies have exclusive rights for using intellectual property (information) which is included in Mass-media production.
Subscriber is a legal entity or an individual who has signed an agreement with the Company according to which the Company helps the Subscriber to get access to information distributed by the Agency.
Application is a document in which the Subscriber expresses his wish to get access to Mass-media Production.
General provisions
- This document is an official proposal (public offering) of ZAO «Agency of economic information of Prime-Tass» (hereinafter referred to as Agency). It contains all material terms of using intellectual property which is included in Delayed Mass-media production.
- Information is deemed accepted if the Subscriber has sent an application for receiving this information as Delayed Mass-media production of the Agency (hereinafter referred to as Application).
- Subject
- Agency shall provide Subscriber with access to information included in Delayed Mass-media production.
- Subscriber shall receive a non-exclusive right to use for its own purposes information included in Mass-media production.
- Exclusive rights for using information included in Mass-media production belong to Information Suppliers which have exclusive rights for using intellectual property (information) included in Mass-media production.
- Rights and Obligations
- Without written permission of Agency or Supplier, Subscriber shall not be allowed to copy and distribute Mass-media production by any means including local network and Internet.
- Subscriber shall not be allowed to transfer to third parties any information about provided software, logins, passwords and other means limiting access to Mass-media production. Subscriber shall use all the above mentioned means only for purposes envisaged herein and shall defend it from illegal access.
- Subscriber shall immediately inform Agency about all cases of getting unauthorized access to Mass-media production by third parties.
- Responsibility and settlement of disputes
- Subscriber shall account for any damage to Agency and/or Supplier, which resulted from unauthorized disclosure by Subscriber of data, supplied to him according to the current agreement and dealing with means limiting access to Mass-media Production.
- Agency and/or Supplier of information shall not be responsible before Subscriber for negative ramifications of any decision or action, taken on the basis of information included in Mass media Production.
- Agency and/or Suppliers of information shall not be responsible for completeness, reliability, frequency and timeliness of mass media Production supplies by Supplier.
- Agency and/or Supplier of information shall not be responsible before Subscriber for damage and/or losses, direct or indirect, including loss of profit as a result of insufficient income, which resulted from any fault or delay in Mass-media Production supply.
- Responsibilities of Agency, Suppliers and Subscriber which are not stipulated by this Agreement, apply according to Russian legislation and International legal practices.
- Other terms
- The Agreement comes into force at the moment when Subscriber sends the letter of Subscriber’s approval of the terms of this Agreement.
- Agency has the right to reject the Agreement at any time and ban Subscriber from information on Agency’s own initiative, on demand of Supplier of information. Agency informs Subscriber about it decision by e-mail.
- Subscriber can reject the Agreement at any time by sending to Agency a special request in written form or by e-mail.
- In all disputes not stipulated by current Agreement relations between Agency and Subscriber are regulated by current legislation of Russian Federation.
